Terms of Service

These Terms of Service (hereinafter referred to as 'these Terms') set forth the terms and conditions for the use of all services (hereinafter referred to as 'the Service') provided by NexA LLC. (hereinafter referred to as 'the Company'). Users (hereinafter referred to as 'Users') shall use the Service in accordance with these Terms.

Article 1 (Application)

  1. These Terms shall apply to all relationships regarding the use of the Service between Users and the Company.
  2. The Company may establish rules and other provisions (hereinafter referred to as 'Individual Provisions') regarding the Service in addition to these Terms. These Individual Provisions shall constitute part of these Terms regardless of their names.

Article 2 (User Registration)

  1. Registration for the Service shall be completed when an applicant agrees to these Terms, applies for registration in the manner prescribed by the Company, and the Company approves such application.
  2. The Company may not approve registration applications if it determines that an applicant falls under any of the following cases, and shall not be obligated to disclose the reason:
    • When false information is submitted in the registration application
    • When the application is from a person who has violated these Terms in the past
    • When the Company otherwise determines that registration is not appropriate

Article 3 (Management of User ID and Password)

  1. Users shall manage their User ID and password for the Service appropriately at their own responsibility.
  2. Users may not transfer, lend, or share their User ID and password with third parties under any circumstances.

Article 4 (Prohibited Actions)

Users shall not engage in the following actions when using the Service:

  • Actions that violate laws or public order and morals
  • Actions related to criminal activities
  • Actions that destroy or interfere with the functions of the Company's servers or networks
  • Actions that may interfere with the operation of the Company's services
  • Actions to collect or accumulate personal information about other users
  • Actions to impersonate other users
  • Actions to provide benefits directly or indirectly to anti-social forces in connection with the Company's services
  • Other actions that the Company determines to be inappropriate

Article 5 (Suspension of Service)

The Company may suspend or interrupt all or part of the Service without prior notice to Users if it determines that any of the following circumstances exist:

  • When performing maintenance or updates on computer systems related to the Service
  • When the provision of the Service becomes difficult due to force majeure such as earthquakes, lightning, fire, power outages, or natural disasters
  • When computers or communication lines stop due to accidents
  • When the Company otherwise determines that it is difficult to provide the Service

Article 6 (Usage Restrictions and Deregistration)

The Company may restrict the use of all or part of the Service or deregister Users without prior notice if Users fall under any of the following cases:

  • When violating any provisions of these Terms
  • When it is found that registration information contains false information
  • When the Company otherwise determines that use of the Service is not appropriate

Article 7 (Disclaimer)

  1. The Company's liability for breach of obligations shall be exempted unless due to intentional or gross negligence of the Company.
  2. The Company shall not be liable for any transactions, communications, or disputes between Users and other Users or third parties regarding the Service.

Article 8 (Changes to Service Content)

The Company may change the content of the Service or discontinue the provision of the Service without notice to Users, and shall not be liable for any damages incurred by Users as a result.

Article 9 (Modification of Terms)

The Company may modify these Terms at any time without notice to Users when deemed necessary. When Users start using the Service after modification of these Terms, they shall be deemed to have agreed to the modified Terms.

Article 10 (Notifications and Communications)

Notifications and communications between Users and the Company shall be made in the manner prescribed by the Company.

Article 11 (Prohibition of Transfer of Rights and Obligations)

Users may not transfer their position under the service agreement or rights or obligations based on these Terms to third parties, or provide them as collateral, without prior written consent of the Company.

Article 12 (Governing Law and Jurisdiction)

  1. These Terms shall be interpreted under the laws of Japan.
  2. In the event of any disputes regarding the Service, the court having jurisdiction over the location of the Company's head office shall have exclusive jurisdiction.
